1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Customer," or "you") and IS.TEAM LLC, a Delaware limited liability company ("IS.TEAM," "we," "us," or "our"), governing your access to and use of the IS.TEAM platform, including all associated software, services, APIs, and content (collectively, the "Service").
By creating an account, accessing the Service, or clicking "I Agree," you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, Acceptable Use Policy, AI Supplementary Terms, and Developer & API Terms, each of which are incorporated herein by reference.
If you do not agree to these Terms, you must not access or use the Service.
If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and all references to "you" shall refer to that entity.
2. Eligibility
2.1 Age Requirement
You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you are at least 16 years old. If we learn that a user is under 16, we will immediately suspend the account and delete all associated data. If you are between 16 and 18 years of age, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf.
2.2 Legal Capacity
You represent and warrant that: (a) you are of legal age to form a binding contract; (b) you are not barred from using the Service under applicable law; and (c) your use of the Service does not violate any applicable law or regulation.
2.3 Geographic Restrictions
The Service is operated from the United States. We make no representation that the Service is appropriate or available in other locations. If you access the Service from outside the United States, you do so at your own risk and are responsible for compliance with local laws.
3. Account Registration and Security
3.1 Account Creation
To use the Service, you must create an account by providing accurate, current, and complete information, including a valid email address. You agree to keep your account information up to date.
3.2 Account Security
You are solely responsible for:
- Maintaining the confidentiality of your account credentials, including your password and API tokens;
- All activity that occurs under your account;
- Notifying us immediately at hi@is.team if you suspect unauthorized access to your account.
We will not be liable for any loss or damage arising from unauthorized access to your account resulting from your failure to maintain adequate security.
3.3 One Account Per Person
Each person may maintain only one personal account. You may not create multiple accounts to circumvent plan limits, promotional offers, or suspensions.
3.4 No Account Sharing
Account credentials are personal and may not be shared with others. Workspace access is managed through the workspace member invitation system.
3.5 Email Verification
We may require you to verify your email address to access certain features. Unverified accounts may have limited functionality.
4. Description of Service
4.1 Core Features
IS.TEAM provides a cloud-based project management platform that includes, without limitation:
- Infinite Canvas Workspace: A spatial, unlimited canvas for organizing boards and notes;
- Kanban Boards: Customizable pipeline boards with task cards, columns, and drag-and-drop functionality;
- Sticky Notes: Canvas-based notes that may be linked to boards and tasks;
- Task Management: Tasks with rich-text descriptions, priority levels, types, labels, assignees, due dates, story points, time tracking, file attachments, and comments (feature availability varies by plan);
- Real-Time Collaboration: Live presence indicators, cursor tracking, viewport synchronization, and co-editing via conflict-free replicated data types (CRDT/Yjs);
- Voice Rooms: In-app audio-only voice chat rooms powered by Daily.co (no video);
- AI Meeting Notes: Audio recording, transcription, and AI-powered action item extraction from voice room sessions (credit-based feature; see AI Supplementary Terms);
- AI Task Assistant: AI-powered task description improvement and suggestion (Pro/Max plans);
- AI Workflow Planner: Natural language-to-board generation (Pro/Max plans);
- IS.AI — LLM API: Bearer token-based REST API allowing external AI agents and automation tools to read, comment on, complete, and move tasks;
- Integrations: OAuth-based connections to GitHub, Slack, Google Drive, and Figma;
- Webhook System: Configurable incoming and outgoing webhooks for automation;
- Analytics: Workspace-level productivity and member performance analytics;
- Referral Program: Invite links that reward both referrer and referee with in-platform credits;
- Notification System: In-app, email, and Slack-based notifications for task events;
- Desktop Timer Application: A downloadable native desktop application for macOS, Windows, and Linux that enables time tracking for tasks without requiring a browser (see Section 4.4).
4.2 Service Modifications
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, for any reason including maintenance, upgrades, or business decisions. We will use reasonable efforts to provide advance notice of material changes via email or in-app notification. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
4.4 Desktop Timer Application
IS.TEAM offers a downloadable desktop application ("Desktop Timer") for macOS, Windows, and Linux. By downloading, installing, or using the Desktop Timer, you agree to the following:
License: Subject to your compliance with these Terms, IS.TEAM grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Desktop Timer on devices you own or control, solely for the purpose of tracking time on tasks within your IS.TEAM workspace.
API Token Authentication: The Desktop Timer authenticates using your personal API token. You are solely responsible for:
- Keeping your API token confidential;
- All activity performed through the Desktop Timer using your token;
- Revoking your token immediately if you suspect unauthorized access (via Account Settings → API).
Local Data Storage: The Desktop Timer stores your API token locally on your device using the operating system's application data directory. IS.TEAM is not responsible for unauthorized access to locally stored tokens resulting from compromised device security.
Timer Behavior: The timer operates locally on your device. Time data is transmitted to IS.TEAM servers only when you explicitly save a time entry. IS.TEAM is not responsible for time data lost due to application crashes, device failures, or network interruptions before a save action is completed.
Updates: We may release updates to the Desktop Timer from time to time. While updates are not mandatory, certain older versions may become incompatible with the IS.TEAM API. We recommend keeping the application up to date.
No Warranty for Desktop Software: The Desktop Timer is provided "AS IS" under the same disclaimer set forth in Section 14. IS.TEAM does not warrant that the Desktop Timer will be compatible with all operating system versions, configurations, or hardware.
Uninstallation: You may uninstall the Desktop Timer at any time. Uninstallation does not delete your IS.TEAM account or any time entries previously saved to the server. Locally stored data (API token) is removed upon uninstallation.
4.3 Beta Features
We may offer features labeled "Beta," "Preview," or "Experimental." Such features are provided as-is, may not be supported, and may be changed or removed at any time without notice. Beta features are excluded from any service level commitments.
5. Subscription Plans and Payment
5.1 Plans and Pricing
IS.TEAM offers the following subscription tiers (pricing subject to change):

Current plan details are available at https://is.team/pricing. We reserve the right to change pricing with at least 30 days' advance notice to existing subscribers.
5.2 Billing and Payment Processor
All payments are processed by Stripe, Inc. ("Stripe"), a third-party payment processor. By subscribing to a paid plan, you agree to Stripe's Terms of Service available at https://stripe.com/legal. IS.TEAM does not store your full credit card information; such information is held by Stripe pursuant to PCI-DSS standards.
You authorize IS.TEAM and Stripe to charge your designated payment method for all applicable fees.
5.3 Automatic Renewal
SUBSCRIPTIONS AUTOMATICALLY RENEW. Unless you cancel before the renewal date, your subscription will automatically renew at the then-current price for the same billing period (monthly or annual). Recurring charges will be charged to your payment method without further authorization from you. You may cancel auto-renewal at any time via your account's Billing Settings.
Auto-Renewal Notice (California ARL Compliance): By subscribing to any paid plan, you expressly consent to automatic renewal. Before each renewal, we will send a reminder email to your registered email address at least 7 days before the renewal date, disclosing the renewal price and the date of the upcoming charge. You may cancel at any time through Billing Settings or by contacting hi@is.team, and such cancellation will take effect at the end of the current billing period.
5.4 Annual Plans
Annual subscriptions are billed upfront for the full year and provide a discount compared to monthly billing. Annual subscriptions are treated as a single, non-divisible billing period for refund purposes.
5.5 Refund Policy
- Monthly subscriptions: Refunds are available within 3 days of the most recent billing date. Contact hi@is.team with your account email and billing date.
- Annual subscriptions: Refunds are available within 14 days of the initial purchase or renewal date. Contact hi@is.team with your account email and billing date.
- Meeting Notes credits: Credits are non-refundable once purchased, except where required by applicable law.
- Renewals: No refunds are available for subscription renewals after the applicable refund window has passed.
- Promotional pricing: Purchases made under promotional or discounted pricing (including Black Friday promotions) are final and non-refundable after the applicable refund window.
- Partial periods: We do not provide prorated refunds for partial subscription periods, except as required by law.
Approved refunds will be credited to the original payment method within 5–10 business days.
5.6 Late Payments and Suspension
If payment cannot be collected on the renewal date, we may suspend your account until payment is received. We may retry your payment method multiple times over a 7-day period. Continued failure to pay may result in account termination and data deletion pursuant to Section 15.
5.7 Taxes
All fees are exclusive of applicable taxes. You are responsible for all taxes, levies, or duties imposed by taxing authorities in connection with your use of the Service. We will collect and remit taxes where required by law (e.g., US state sales tax).
5.8 Fee Disputes
If you believe you have been incorrectly billed, you must notify us within 60 days of the charge. We will investigate and correct any verified billing errors.
5.9 Promotional Credits and Codes
From time to time, we may offer promotional discount codes (including seasonal campaigns such as "Black Friday"). Such codes:
- Are subject to their stated terms and expiration dates;
- Cannot be combined with other offers unless explicitly stated;
- Are for one-time use per account unless stated otherwise;
- Have no cash value and are non-transferable;
- May require redemption through Stripe's promotion code system at checkout.
5.10 Meeting Notes Credits
AI Meeting Notes uses a credit system separate from your subscription:
- Credits are consumed at the rate of 1 credit per meeting analysis session (maximum 90 minutes per session);
- Credits are non-transferable between accounts;
- Credits do not expire while your account remains active;
- Initial credits are granted upon workspace creation on eligible plans (Pro: 2 credits; Max: 2 credits; annual plans receive additional credits);
- Additional credits may be purchased via the in-app credit store using Stripe.
5.11 Plan Limits and Enforcement
Exceeding plan limits (boards, workspaces, members, cards, notes) will result in an in-app prompt to upgrade. We do not automatically charge you for exceeding limits; instead, the relevant feature will be blocked until you upgrade or reduce usage.
6. User Content
6.1 Your Content
"User Content" means all data, information, text, files, images, audio recordings, AI inputs, AI outputs, task descriptions, comments, notes, and other materials that you or your workspace members upload, submit, create, or generate through the Service.
6.2 Ownership
You retain all intellectual property rights in your User Content. IS.TEAM does not claim ownership of your User Content.
6.3 License to IS.TEAM
By submitting User Content to the Service, you grant IS.TEAM a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, copy, transmit, display, and process your User Content solely as necessary to provide and improve the Service. This license terminates when you delete the Content or close your account, subject to reasonable backup and legal hold periods.
6.4 Prohibited Content
You may not submit User Content that:
- Violates any applicable law or regulation;
- Infringes the intellectual property rights of any third party;
- Contains malware, viruses, or any other harmful code;
- Is defamatory, obscene, harassing, or otherwise objectionable;
- Violates the privacy rights of any third party;
- Contains personally identifiable information of individuals who have not consented to its inclusion.
Detailed prohibited conduct is set forth in our Acceptable Use Policy.
6.5 Workspace Content and Member Responsibilities
Workspace owners are responsible for all User Content submitted by workspace members. By inviting a member to your workspace, you take responsibility for ensuring that member complies with these Terms.
6.6 Content Monitoring
We do not routinely monitor User Content. However, we reserve the right to review, remove, or disable access to User Content that we reasonably believe violates these Terms or applicable law, without prior notice.
6.7 Feedback
If you provide feedback, suggestions, or ideas about the Service ("Feedback"), you grant IS.TEAM an irrevocable, perpetual, royalty-free right to use, incorporate, and commercialize such Feedback without restriction or compensation.
7. Third-Party Integrations
7.1 Available Integrations
The Service supports OAuth-based integrations with third-party platforms, including but not limited to:
- GitHub (GitHub, Inc.) — PR/issue linking, automatic webhook setup, state synchronization;
- Slack (Slack Technologies, LLC) — task and comment notifications;
- Google Drive (Google LLC) — file attachment and preview within tasks;
- Figma (Figma, Inc.) — design file embedding within tasks.
The Service also supports outbound webhook delivery to third-party automation platforms including Zapier and Make.com ("Automation Platforms").
7.2 Authorization and Consent
By connecting a third-party integration, you:
- Authorize IS.TEAM to access your account on that platform within the specific OAuth scopes you approve at connection;
- Consent to your workspace data being shared with that platform to the extent necessary to provide the integration's functionality;
- Agree to comply with that platform's terms of service and privacy policy.

7.3 Disclaimer for Third-Party Services
IS.TEAM EXPRESSLY DISCLAIMS ALL LIABILITY arising from or related to third-party integrations and platforms, including:
- Downtime, errors, or unavailability of third-party services;
- Changes to third-party APIs that disrupt integration functionality;
- Data handling or security practices of third-party platforms;
- Loss of data resulting from third-party platform actions.
Your relationship with each third-party platform is governed solely by your agreement with that platform. IS.TEAM is not responsible for and makes no representations or warranties regarding any third-party platform.
7.4 Webhook Endpoints
When you configure outgoing webhooks, you represent that you have the right to receive data at the specified endpoint URL. IS.TEAM will transmit signed payloads to your webhook URL using HMAC-SHA256 signatures (X-IsTeam-Signature header). Webhook delivery is best-effort and is not guaranteed. IS.TEAM will retry failed webhook deliveries for a limited period; after retry exhaustion, events are permanently lost. You should not rely on webhooks as the sole source of truth for mission-critical operations.
7.5 GitHub Webhook Installation
When you add a GitHub repository to your IS.TEAM workspace, IS.TEAM will automatically install a webhook on that repository via the GitHub API to receive pull request and issue events. By adding a repository, you authorize this webhook installation. Removing the repository or disconnecting the GitHub integration will automatically delete the webhook.
7.6 Revoking Integration Access
You may disconnect any integration at any time via Workspace Settings → Integrations. Upon disconnection, IS.TEAM will delete the associated access tokens from its systems. Revoking IS.TEAM's access via the third-party platform's settings may disrupt the integration but does not automatically delete stored tokens from IS.TEAM's systems; you must also disconnect from within IS.TEAM.
8. Voice and Audio Recording
8.1 Voice Room
The Voice Room feature provides audio-only communication using infrastructure provided by Daily.co ("Daily"). Voice Room sessions are not recorded or stored by IS.TEAM unless the AI Meeting Notes feature is explicitly activated.
8.2 AI Meeting Notes — Recording Consent
IMPORTANT: Recording Consent Obligations.
The AI Meeting Notes feature records audio from Voice Room sessions for the purpose of transcription and AI-powered action item extraction. Before activating AI Meeting Notes recording:
- You are solely responsible for obtaining the explicit, informed consent of all meeting participants to being recorded;
- Many US states (including California, Delaware, Florida, Illinois, Maryland, Massachusetts, Montana, Nevada, New Hampshire, Pennsylvania, and Washington) require all-party consent for audio recording; Connecticut and Oregon require all-party consent for certain communication types;
- If your meeting participants are located outside the United States, additional consent requirements may apply under laws such as the GDPR (EU) and other local privacy laws;
- IS.TEAM strongly recommends using the in-app consent prompt or another clear mechanism to inform all participants that recording is active before beginning any session;
- IS.TEAM is not providing legal advice and you should consult legal counsel to understand your consent obligations in your jurisdiction.
You, not IS.TEAM, are responsible for compliance with all applicable wiretapping, eavesdropping, and consent laws.
8.3 Audio Data Handling
- Audio is processed solely for the purpose of transcription and AI analysis;
- Audio recordings and raw transcripts are deleted from IS.TEAM's systems immediately after processing is complete;
- In the event of a processing failure, audio may be retained for up to 72 hours while retries are attempted, after which the data is permanently deleted;
- AI-generated summaries and action items are stored as User Content in your workspace under your control;
- The audio processing subprocessor is identified in the AI Supplementary Terms.
8.4 Voice Room Data
Voice Room participation data (such as which users joined or left a room) may be temporarily stored to provide presence features and is deleted upon session end. No audio from non-Meeting Notes Voice Room sessions is recorded or stored by IS.TEAM.
9. IS.AI — LLM API
The IS.AI feature provides a REST API that allows external software, AI agents, scripts, and automation tools to interact with your IS.TEAM workspace. Use of this API is governed by the Developer & API Terms, which are incorporated herein by reference.
Key points:
- API tokens (prefixed
ist_) are your responsibility to keep confidential; - You are responsible for all actions taken via your API token;
- Per-card access controls (read, comment, workflow) must be explicitly configured;
- IS.TEAM reserves the right to revoke API access for violations of these Terms or the Developer & API Terms.
10. Referral Program
10.1 Eligibility
The referral program is available to all registered IS.TEAM users with an active account. Referral codes are unique per user and may be shared freely.
10.2 Mechanics
- Each user receives a unique referral code accessible via Workspace Settings;
- When a new user registers using your referral link and creates their first workspace, you will receive 2 AI Meeting Notes credits as a reward;
- The referred user must be a new IS.TEAM user who has not previously registered;
- Self-referral (applying your own code to your own account) is prohibited and will result in no reward;
- Fraudulent referrals (including creating fake accounts) will result in reward reversal and may result in account termination.
10.3 Credits
Referral rewards are paid as IS.TEAM platform credits (AI Meeting Notes credits). Credits:
- Have no cash value;
- Are non-transferable;
- Cannot be converted to subscription discounts or cash;
- Expire upon account termination.
10.4 Modification
We reserve the right to modify or discontinue the referral program at any time with 30 days' notice. Earned credits at the time of program discontinuation will remain valid until account termination.
11. Intellectual Property
11.1 IS.TEAM Ownership
The Service, including all software, code, algorithms, visual designs, user interfaces, text, graphics, and trademarks, is owned by or licensed to IS.TEAM and is protected by United States and international intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited license set forth herein.
11.2 License to Use
Subject to your compliance with these Terms, IS.TEAM grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business or personal purposes during the subscription term.
11.3 Restrictions
You may not:
- Copy, modify, distribute, sell, or lease any part of the Service;
- Reverse engineer, decompile, or disassemble any part of the Service;
- Remove or alter any proprietary notices or labels;
- Use IS.TEAM's name, logos, or trademarks without our prior written consent;
- Use the Service to develop a competing product or service;
- Scrape, index, or crawl the Service by automated means.
11.4 DMCA
We respect intellectual property rights. If you believe User Content on the Service infringes your copyright, please send a DMCA takedown notice to hi@is.team containing: (a) your contact information; (b) identification of the copyrighted work; (c) identification of the infringing material; (d) a statement of good faith belief; (e) a statement of accuracy under penalty of perjury; and (f) your physical or electronic signature.
12. Privacy
Your use of the Service is governed by our Privacy Policy, which is incorporated herein by reference. By using the Service, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.
13. Confidentiality
IS.TEAM will treat your workspace data as confidential and will not disclose it to third parties except: (a) as necessary to provide the Service; (b) with your consent; (c) when required by applicable law, court order, or regulatory authority (in which case we will notify you to the extent legally permitted); or (d) to protect the rights, property, or safety of IS.TEAM, its users, or the public.
14. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IS.TEAM AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING, WITHOUT LIMITATION:
- ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT;
- ANY WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
- ANY WARRANTY AS TO THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT OR INFORMATION PROVIDED THROUGH THE SERVICE, INCLUDING AI-GENERATED CONTENT;
- ANY WARRANTY REGARDING THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED THROUGH THE SERVICE.
AI-GENERATED OUTPUTS (INCLUDING BUT NOT LIMITED TO TASK SUGGESTIONS, WORKFLOW PLANS, MEETING SUMMARIES, AND ACTION ITEMS) ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND SHOULD NOT BE RELIED UPON WITHOUT INDEPENDENT VERIFICATION. IS.TEAM DOES NOT WARRANT THAT AI OUTPUTS ARE ACCURATE, COMPLETE, OR APPROPRIATE FOR ANY PARTICULAR PURPOSE.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL IS.TEAM OR ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES;
- LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OR ANTICIPATED SAVINGS;
- BUSINESS INTERRUPTION OR LOSS OF BUSINESS OPPORTUNITY;
- COST OF SUBSTITUTE GOODS OR SERVICES;
- UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA.
EVEN IF IS.TEAM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT INCLUDING NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE).
IS.TEAM'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, REGARDLESS OF THE FORM OF ACTION, WILL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO IS.TEAM IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) FIFTY DOLLARS ($50.00).
THE FOREGOING LIMITATIONS DO NOT APPLY TO: (I) IS.TEAM'S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT; (II) CLAIMS OF DEATH OR BODILY INJURY CAUSED BY IS.TEAM'S NEGLIGENCE; (III) IS.TEAM'S INDEMNIFICATION OBLIGATIONS UNDER SECTION 16; OR (IV) LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. In such jurisdictions, the foregoing limitations may not apply to the full extent permitted by law.
16. Indemnification
You agree to indemnify, defend, and hold harmless IS.TEAM and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your violation of these Terms or any applicable law;
- Your User Content, including any claim that your User Content infringes a third party's rights;
- Your use of the Service, including your use of any AI features or integrations;
- Your failure to obtain required consents for audio recording under Section 8;
- Your use of the IS.AI API, including actions taken by AI agents using your API tokens;
- Any activity under your account.
IS.TEAM reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate with IS.TEAM's defense of such claim.
17. Term and Termination
17.1 Term
These Terms begin when you create an account and continue until terminated.
17.2 Termination by You
You may terminate your account at any time by: (a) canceling your subscription via Billing Settings; and (b) deleting your account via Account Settings. Termination does not entitle you to a refund except as expressly provided in Section 5.5.
17.3 Termination by IS.TEAM
We may suspend or terminate your account immediately, without prior notice or liability, if:
- You breach these Terms or any policy incorporated herein;
- You engage in conduct that is harmful to other users, IS.TEAM, or third parties;
- We are required to do so by law or court order;
- We reasonably suspect fraudulent activity;
- Your payment fails and is not cured within 7 days.
17.4 Effect of Termination
Upon termination:
- Your license to use the Service immediately terminates;
- You must cease all use of the Service;
- Your workspace data will remain accessible for 30 days following termination to allow data export;
- After 30 days, your data will be permanently deleted within 60 days, except for data we are required to retain by law;
- API tokens associated with your account will be immediately revoked;
- Outgoing webhooks will be immediately deactivated;
- Referral credits with no cash value will be forfeited.
17.5 Workspace Deletion — Soft Delete
If you delete a workspace (rather than your entire account), the workspace enters a 30-day recovery period during which you may restore it via Workspace Settings. After 30 days, the workspace and all associated data are permanently deleted.
17.6 Survival
The following sections survive termination: 6.2 (Ownership), 6.7 (Feedback), 11 (Intellectual Property), 13 (Confidentiality), 14 (Disclaimer of Warranties), 15 (Limitation of Liability), 16 (Indemnification), 18 (Governing Law), 19 (Dispute Resolution), and 20 (General Provisions).
18. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
19. Dispute Resolution
19.1 Informal Resolution
Before filing any formal legal proceeding, you agree to contact IS.TEAM at hi@is.team to attempt to resolve the dispute informally. IS.TEAM will attempt to resolve the dispute within 30 days of receiving your notice.
19.2 Binding Arbitration
If informal resolution fails, all disputes arising out of or related to these Terms or the Service will be resolved by binding arbitration under the rules of the American Arbitration Association ("AAA") Commercial Arbitration Rules, except as set forth in Section 19.4. Arbitration will be conducted by a single neutral arbitrator. The arbitration will take place in Wilmington, Delaware, or by videoconference if the parties agree. The decision of the arbitrator is final and binding. Judgment on the award may be entered in any court having jurisdiction.
30-Day Opt-Out Right: You may opt out of this arbitration agreement by sending written notice to hi@is.team within 30 days of first accepting these Terms (i.e., within 30 days of creating your account). Your opt-out notice must include your full name, email address associated with your account, and a clear statement that you wish to opt out of arbitration. If you opt out, you and IS.TEAM agree to resolve disputes exclusively in the state or federal courts located in Wilmington, Delaware.
19.3 Class Action Waiver
YOU AND IS.TEAM AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. If this waiver is found unenforceable, the entirety of Section 19.2 shall be null and void.
19.4 Exceptions to Arbitration
Either party may bring an individual action in small claims court. Either party may seek emergency injunctive or equitable relief from a court of competent jurisdiction in Delaware to prevent irreparable harm pending arbitration.
19.5 Time Limit
Any claim arising out of or related to these Terms must be filed within one (1) year after the cause of action accrues, or it will be permanently barred.
20. General Provisions
20.1 Entire Agreement
These Terms, together with the Privacy Policy, Acceptable Use Policy, AI Supplementary Terms, Developer & API Terms, and Cookie Policy, constitute the entire agreement between you and IS.TEAM regarding the Service and supersede all prior agreements, understandings, and negotiations.
20.2 Modifications to Terms
We reserve the right to modify these Terms at any time. We will provide at least 30 days' advance notice of material changes via email to your registered address or in-app notification. Your continued use of the Service after the effective date of the modified Terms constitutes your acceptance. If you do not agree to the modified Terms, you must stop using the Service before the effective date.
20.3 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
20.4 Waiver
IS.TEAM's failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
20.5 Assignment
You may not assign or transfer your rights or obligations under these Terms without IS.TEAM's prior written consent. IS.TEAM may assign these Terms or any of its rights hereunder to an affiliate or in connection with a merger, acquisition, or sale of all or substantially all of its assets.
20.6 Force Majeure
IS.TEAM will not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including natural disasters, acts of government, terrorism, pandemics, internet or telecommunications outages, or third-party service failures.
20.7 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights.
20.8 Notices
Legal notices to IS.TEAM must be sent to: hi@is.team or IS.TEAM LLC, 123 Placeholder Street, Suite 100, Wilmington, DE 19801. We may send notices to you via the email address registered to your account.
20.9 Export Compliance
You agree to comply with all applicable export control laws and regulations, including US export control laws. You represent that you are not located in, under the control of, or a national or resident of any country subject to US trade sanctions.
